Terms and Conditions of Sale Version 2026.2

These Terms and Conditions govern the supply of goods and services by CCP Modular, a trading division of A&W Agricultural Services Ltd, registered in England and Wales.

Placing an order with the Company constitutes acceptance of these Terms and Conditions.


1. Definitions

Company
CCP Modular, trading division of A&W Agricultural Services Ltd.

Customer
The person, organisation or authority purchasing goods or services.

Goods
Modular buildings, containers, units, materials, components or equipment supplied by the Company.

Services
Design work, consultancy, delivery, installation, groundworks, or related services supplied by the Company.

Contract
The agreement between the Company and the Customer for the supply of Goods and/or Services.


2. Formation of Contract

Quotations issued by the Company remain valid for 30 days unless otherwise stated.

A Contract is formed when any of the following occurs:

• written acceptance of a quotation
• payment of a deposit
• written order confirmation issued by the Company

No variation to these Terms shall apply unless confirmed in writing by the Company.


3. Quotations and Pricing

All prices are quoted exclusive of VAT unless stated otherwise.

Quotations are based on the information provided by the Customer at the time of pricing.
If project scope, site conditions, or delivery requirements change, the Company reserves the right to adjust pricing accordingly.

Where supplier costs increase prior to manufacture or procurement, the Company reserves the right to revise pricing before production begins.


4. Payment Terms

Unless otherwise stated in writing, payment shall be made as follows:

50% deposit upon order confirmation
40% prior to completion of manufacture or dispatch of goods
10% prior to delivery or installation

Where installation or site works are included, staged payments may apply as detailed within the quotation.

Failure to meet payment milestones may delay manufacture, dispatch or installation.

Interest may be charged on overdue invoices at 3% above the Bank of England base rate.


5. Manufacturing Commitment and Order Cancellation

Once manufacture or procurement of materials has commenced, the order is considered committed.

Deposits become non-refundable once production has started.

Where the Customer cancels an order after production has begun, the Company reserves the right to recover:

• materials ordered
• manufacturing costs
• supplier charges
• administrative costs incurred


6. Delivery

Delivery dates are estimates only.

The Company will make reasonable efforts to meet delivery dates but shall not be liable for delays caused by factors outside its control, including:

• manufacturing schedules
• transport availability
• crane scheduling
• weather conditions
• site readiness
• supply chain disruption

Risk in the Goods passes to the Customer upon delivery to site.

The Customer must inspect Goods on delivery and report any damage within 3 working days.


7. Site Access and Installation

Where delivery or installation is provided, the Customer must ensure:

• suitable vehicle access
• safe crane access where required
• adequate unloading space
• prepared foundations where applicable
• access to services where required

If delivery or installation is delayed due to site readiness issues, the Company may charge additional costs incurred including transport, labour or crane rescheduling.


8. Site Readiness and Customer Delay

If the Goods are ready for delivery but the Customer’s site is not ready, the Company reserves the right to:

• charge reasonable storage fees
• invoice remaining contract balances
• reschedule delivery at the Customer’s expense


9. Customer Responsibilities

The Customer is responsible for obtaining all required:

• planning permissions
• building regulation approvals
• statutory consents
• third-party approvals

Unless explicitly agreed in writing, the Company does not guarantee that supplied buildings meet local planning requirements.

Where planning advice is given, it is provided in good faith based on available information.


10. Design Ownership and Intellectual Property

All drawings, specifications, layouts, calculations, design concepts and project documentation produced by the Company remain the intellectual property of the Company.

These materials may not be reproduced, distributed or used for construction by another supplier without written consent.


11. Specification Changes and Manufacturing Tolerances

The Company reserves the right to make reasonable alterations to specifications, materials or design where necessary for manufacturing, structural integrity, regulatory compliance or supplier requirements.

Such changes shall not materially affect the intended use or function of the Goods.

Minor variations in dimensions, materials, colours or finishes may occur as part of normal manufacturing tolerances.


12. Ground Conditions

Where installation or groundworks are included, pricing assumes normal ground conditions.

The Company shall not be responsible for unforeseen conditions including:

• underground services
• unstable ground
• buried structures
• contamination

Any additional works required as a result of unforeseen conditions will be chargeable.


13. Third-Party Contractors

Where the Customer appoints third-party contractors to undertake work associated with the project, the Company shall not be responsible for:

• delays caused by those contractors
• damage caused by their work
• coordination of their activities


14. Warranty

The Company warrants that Goods supplied will be free from material defects in workmanship for 12 months from delivery.

The warranty does not apply to:

• misuse or negligence
• unauthorised alterations
• normal wear and tear
• damage caused by third parties

The Company’s liability under warranty is limited to repair or replacement of defective components.


15. Limitation of Liability

The Company shall not be liable for:

• indirect losses
• loss of business
• loss of profit
• consequential or economic loss

The Company’s total liability shall not exceed the value of the Goods or Services supplied under the Contract.

Nothing in these Terms limits liability for death or personal injury caused by negligence.


16. Retention of Title

Ownership of the Goods remains with the Company until full payment has been received.

Until payment is complete:

• the Customer holds the Goods as bailee for the Company
• the Company may recover Goods if payment is not made
• the Company may enter the Customer’s premises to recover unpaid Goods


17. Insolvency

If the Customer becomes insolvent, enters liquidation, administration or otherwise indicates inability to pay, the Company reserves the right to:

• suspend delivery
• cancel the Contract
• recover Goods supplied but unpaid


18. Force Majeure

The Company shall not be liable for delays or failure to perform obligations due to circumstances beyond its control including:

• natural events
• supply chain disruption
• labour shortages
• transport restrictions
• regulatory changes

Delivery timelines may be extended accordingly.


19. Marketing and Project Photography

Unless the Customer objects in writing, the Company reserves the right to photograph completed projects for portfolio, marketing or reference purposes.

No confidential information will be disclosed.


20. Governing Law

These Terms and Conditions are governed by the laws of England, Scotland and Wales.

Any disputes shall be subject to the exclusive jurisdiction of the courts of England, Scotland and Wales.


21. Acceptance

These Terms shall be deemed accepted when the Customer:

• confirms an order
• pays a deposit
• accepts a quotation in writing
• accepts delivery of Goods
